Investment banks and M&A advisors: put evidence behind the technology story

Give buyers a technology position they can examine, and your client a defined route to specialist support.

Heremba provides technology support for M&A advisors working on UK, European and cross-border deals. We assess and deliver the technology workstream. The assignment sits alongside your transaction advisory remit and supplies the technical work and evidence required within an agreed scope.

Prepare for the questions buyer diligence will raise

Establish the estate position

Sale preparation needs a clear account of the technology, its costs and remaining requirements. IT Value Creation & Estate Remediation can address the agreed weaknesses and prepare evidence of completed work. The sale narrative should distinguish the current position from improvements still planned.

Technology Due Diligence provides a route to a defined assessment of the estate and the implications of the transaction. An introduction can start with the technical question that needs resolving, rather than a broad programme with an unclear boundary.

Substantiate the seller data

A vendor data report gives the seller an independent assessment of the datasets that matter to integration cost and the value case. Data Readiness & Assurance examines condition and fitness for the intended use, then translates findings into cost, timing and risk.

The seller commissions the assessment and places the report in the data room. It can identify gaps before they become buyer objections and provide evidence behind data-dependent claims. The report is technical evidence, not a substitute for quality of earnings or the other diligence workstreams.

Make the separation implications visible

Where a sale involves a shared estate, Carve-Out & Separation establishes the operational dependencies and route out of seller services. That work gives the parties a basis for considering what the business needs at completion and through transition.

Day-1 Readiness & Rescue addresses uncertainty over the technology position at close. Post-Merger & Bolt-On Integration can support the subsequent acquisition programme where that work is required. Each assignment has a distinct scope; an introduction for sale preparation does not presume ownership of every later stage.

Make a specialist referral with a clear remit

The useful starting point is the client’s requirement: a data question, a separation dependency or a technology position that needs evidence. We agree the commissioning party, scope, reporting audience and responsibilities before the work begins.

Heremba does not broker transactions or provide regulated financial, investment, legal or tax advice. The parties’ counsel set clean-team protocols and advise on contractual protections. Our buyer-side data assessment releases findings only, never raw seller data, within those agreed arrangements.

Questions about the assignment

Can the seller commission a report before buyer diligence?

Yes. The seller can commission Data Readiness & Assurance and place the independent vendor data report in the data room. The assessment covers selected datasets and their intended uses, with findings translated into integration implications. It supplies technical evidence rather than replacing financial diligence or guaranteeing buyer acceptance.

Does a technology referral overlap with our transaction role?

Heremba’s remit is the agreed technology assessment or delivery assignment. We do not broker transactions or provide regulated financial, investment, legal or tax advice. The scope identifies the commissioning party, reporting audience and responsibilities so the technical work fits alongside the transaction advisers’ existing roles.

What information is needed for an initial introduction?

Start with the deal stage, the technical issue and the deadline, without sending a full data room. That context allows a discussion of the required assignment. The next step is to agree scope, reporting and appropriate confidentiality arrangements before establishing which information is needed for the work.

Can a buyer use the seller’s report without further diligence?

The report gives the buyer technical evidence to consider within its own diligence process. Whether further work is needed depends on the buyer’s intended use, questions and available evidence. The assessment states its scope and limitations; it does not promise that every buyer will accept it without further review.

Start with the issue behind the introduction

Describe the deal stage, question and deadline at a level appropriate for the initial discussion. We can establish the technical scope and agree the information needed next, with confidentiality arrangements appropriate to the assignment.

Our M&A Technology Framework shows where the work sits from assessment through exit. The objective of the referral is specific: give the client ownership of the technology work that the transaction requires.
